This Order Agreement (the “Agreement”) is made regarding the order of Exodus (the “Exodus Rig”), and is between Exodus Inc. (“Exodus “), a company operating in California, and the person or entity making this order (“you”). By placing your order , you agree to be bound by the terms of this Agreement.
(a) Order : Your order acts as a deposit towards the future purchase of the Exodus Rig. This Agreement and your order do not obligate you to purchase the Exodus Rig, nor do they obligate Exodus to supply the Exodus Rig. Completion of the purchase will require a separate purchase agreement with additional terms, conditions, and pricing (“Purchase Agreement”).
(b) Order Acceptance: Exodus reserves the right to accept or decline order at its discretion. This includes the right to limit the number of Exodus per customer, cancel orders at any time, and refuse orders suspected of intent for resale. In case of order cancellation by either party, Exodus will refund your deposit in full as your sole remedy.
(a) Eligibility: You may place a order if you are at least 18 years old, can form a binding contract, reside in California or a location where Exodus operates, and are not barred from doing so by law. If placing a order on behalf of an entity, you must be authorized to bind that entity to this Agreement.
(b) Information Accuracy: You warrant that all information provided to Exodus is accurate. You are responsible for keeping this information current and must promptly inform Exodus of any changes.
(a) Deposit: A deposit of $2000 is required to place a order . This deposit is fully refundable until you enter into a Purchase Agreement. Exodus may request additional payment information to process this deposit.
(b) Cancellation and Refund: You can cancel your order and receive a full refund of your deposit at any time before entering into a Purchase Agreement. Exodus also reserves the right to cancel your order and will refund your deposit in such cases.
Delivery timelines are estimated and may change. Exodus aims to deliver your Exodus Rig promptly, but there may be delays. The initial price quoted for the Exodus Rig is subject to final confirmation before entering into a Purchase Agreement. Importantly, Exodus retains the flexibility to adjust the base price, modify packaging, change or discontinue options, or introduce new features and upgrades at any point before you enter into a Purchase Agreement. This flexibility extends to offering new features and upgrades for an additional charge even after a Purchase Agreement has been signed. Should you find the final base price unsatisfactory, you have the option to cancel your order.
Exodus makes no guarantees, either express or implied, regarding the prototype of the Exodus Rig showcased, both before and after your agreement signature. You acknowledge and accept that the Exodus Rig is in the development phase, including its design and technological aspects, and as such, the version available for your purchase might significantly differ from the prototype. Should the final product not meet your expectations, your exclusive recourse is to cancel your order. It’s important to understand this agreement does not constitute a sale, nor an offer to sell, or a purchase contract for the Exodus Rig. Your ability to purchase the exodus rig is contingent upon its availability.
This Agreement and any disputes arising under it will be governed by and interpreted in accordance with the laws of the State of California, without regard to its conflict of laws principles. Any disputes or claims relating to this Agreement shall be resolved through binding arbitration in California, in accordance with the rules of the American Arbitration Association.
This Agreement constitutes the entire agreement between you and Exodus regarding your order. It supersedes all prior agreements and understandings. Exodus reserves the right to modify this Agreement at any time.
